Terms and Conditions

These terms reflect Skysoft Mall’s currently implemented marketplace and merchant-subscription model. Mandatory statutory rights are not excluded.

1–2. Acceptance and eligibility

By using Skysoft Mall or registering a merchant account, you agree to these terms and acknowledge the Privacy Policy. You must have legal capacity and authority to act for any business you register. Additional merchant checks may be required.

3–4. Skysoft Mall’s marketplace role

Skysoft Mall provides storefront hosting, marketplace discovery, catalogue and search, enquiries, optional continuation through WhatsApp, merchant subscriptions and advertising. Unless the platform later expressly introduces a different checkout service, Skysoft Mall does not complete the underlying customer–merchant sale or automatically receive customer product payments. Merchants, not Skysoft Mall, supply their listed goods or services. This distinction does not remove any responsibility or consumer right that Nigerian law places on Skysoft Mall.

5. Merchant accounts

Merchants must provide accurate identity and contact information, protect credentials, control authorised staff and promptly update material changes. Accounts may not be transferred or used to impersonate another person or business.

6–9. Store subscriptions, fees and lifecycle

The selected plan, price, currency, billing period and included limits are shown before payment and recorded server-side. New subscription payments are completed on Paystack and independently verified by Skysoft Mall. Access may begin only after successful verification. Expiry, renewal, grace, cancellation and suspension follow the displayed plan and administrator-approved commercial policy. No automatic renewal is promised unless explicitly introduced and disclosed. Final commercial subscription refund rules require owner and legal approval; requests will be assessed reasonably, considering service delivery, payment error, law and provider processes. Nothing here creates a blanket “no refunds” rule.

10–12. Storefronts, listings and merchant duties

Merchants are responsible for lawful, truthful and current business identity, products, services, prices, taxes where applicable, condition, availability, descriptions, images, contacts and promotions. Misleading or deceptive listings are prohibited. A used, second-hand, refurbished or reconditioned product must be conspicuously described as such and must never be represented as new.

13–15. Customers, enquiries and information

Customers should provide truthful enquiry information, review listing details and communicate respectfully. Enquiries and WhatsApp links facilitate communication; agreement, payment, fulfilment, delivery, cancellation, return, warranty and refund for the underlying transaction are matters between the customer and merchant, subject to applicable law. Displayed prices and material facts must be clear and current.

16. Advertising

Sponsored means paid promotional placement. The displayed package price and duration are recorded when purchased; later price changes apply only to new purchases. Payment is verified server-side and does not bypass campaign moderation. Advertisers remain responsible for factual, lawful and non-deceptive content. Skysoft Mall may review, refuse, pause or remove campaigns that breach policy or law. Sponsorship is not verification.

17. Merchant verification

Verification is a separate, time-limited review service. The merchant warrants that every submitted document is genuine, current where applicable, belongs to or lawfully represents the relevant person or business, and is not altered to mislead. CAC registration is not required from every merchant; a CAC certificate is optional unless a particular lawful review reasonably requires clarification.

Payment alone does not award a badge. Required documents, verified payment and administrator approval are all required. Verification begins on approval, expires after the purchased period and may be rejected, suspended or revoked for fraudulent documents, impersonation, serious policy violations, credible fraud concerns, or legal or regulatory requirements. Reasons and administrative actions are recorded. “Verified on Skysoft Mall” means defined information supplied by the merchant was reviewed; it is not a guarantee of listings, quality, delivery or future conduct.

Customer caution and complaints

Customers should confirm identity, listing details, prices and transaction terms, use additional caution with unverified merchants, retain transaction evidence, and report suspicious activity to Skysoft Mall. An unverified status is not an accusation of fraud. Support may help route or review a complaint but does not make Skysoft Mall the supplier of an independent merchant’s goods or services. Mandatory consumer rights remain unaffected.

18. Prohibited content and conduct

Users must not publish or facilitate illegal goods or services, fraudulent or counterfeit listings, stolen goods, dangerous prohibited items, malicious software, deceptive advertisements, intellectual-property infringement, unlawful personal-data publication, harassment, security attacks or evasion of moderation.

19–20. Intellectual property and uploads

Skysoft Mall software, branding and platform content remain protected by applicable rights. Merchants retain appropriate rights in their original content but grant Skysoft Mall the limited permission needed to host, resize, display and promote authorised storefront content. Uploaders confirm they have necessary rights to logos, images, descriptions and advertising creative.

21–22. Moderation, suspension and termination

Skysoft Mall may hide content, stop advertisements, restrict features or suspend or terminate accounts for legal, safety, security, payment or policy reasons, using the existing moderation and account controls. Where appropriate and lawful, notice and a reasonable opportunity to clarify may be provided. Data and records may be retained where legally required.

23–24. Consumer rights, cancellation and refunds

Nothing in these terms excludes rights that cannot lawfully be excluded under the Federal Competition and Consumer Protection Act 2018 or other applicable law, including relevant rights concerning understandable information, price disclosure, truthful marketing, fair dealing, cancellation, returns, quality and safety. Merchants must maintain lawful transaction-specific cancellation, return, warranty and refund practices and communicate them before agreement.

25. Privacy

Personal-data handling is described in the Privacy Policy. Merchants have independent obligations for customer information received through enquiries or subsequent communication.

26. Availability and changes

Skysoft Mall may maintain, improve, replace or discontinue features. Reasonable efforts are made to keep the service available, but uninterrupted operation is not guaranteed. Material subscription changes should be communicated appropriately.

27–28. Liability and indemnity

To the extent legally permissible, Skysoft Mall is not responsible for indirect losses caused solely by independent merchant conduct or customer–merchant arrangements outside platform control. No wording excludes liability for fraud, negligence, defective performance, statutory duties or other liability that cannot lawfully be excluded. A user is responsible for loss directly caused by their unlawful breach, but any indemnity applies only to the extent fair and legally permissible.

29–30. Governing law, disputes and complaints

These terms are governed by applicable Nigerian law. Raise complaints first with the relevant merchant for an underlying supply issue and with Skysoft Mall for platform, subscription, moderation or privacy issues. Parties should attempt good-faith resolution before using available courts, regulators or other lawful remedies. Consumers may approach the Federal Competition and Consumer Protection Commission where appropriate.

31. Changes to terms

Skysoft Mall may update these terms for legal, operational or service changes. The displayed version and date will change. Material changes may require renewed acceptance where appropriate.
